These Terms of Service ("Terms") govern your use of the website nexailabs.tech and services provided by Nexai Labs ("we," "us," or "our"). By accessing our website or engaging our services, you agree to these Terms.
Nexai Labs provides software development, product design, consulting, and related digital services. Specific deliverables, timelines, and pricing are defined in individual project agreements or statements of work.
Upon full payment, clients receive ownership of custom code and designs created specifically for their project, unless otherwise agreed in writing. Nexai Labs retains rights to pre-existing tools, frameworks, libraries, and general methodologies used across projects.
Project fees are due according to the payment schedule in your project agreement. Late payments may incur a 1.5% monthly interest charge. We reserve the right to pause work on overdue accounts.
To the maximum extent permitted by law, Nexai Labs' total liability for any claim arising from our services shall not exceed the fees paid by you for the specific project giving rise to the claim. We are not liable for indirect, incidental, or consequential damages.
We warrant that services will be performed in a professional manner consistent with industry standards. Software is provided "as is" after the agreed acceptance period. We offer a 30-day bug-fix warranty on delivered code from the date of final delivery.
Either party may terminate a project with 14 days written notice. Client is responsible for payment of all work completed through the termination date.
These Terms are governed by the laws of the Province of Alberta, Canada. Disputes shall be resolved in the courts of Alberta.
